    there are "unusual" tax rulings in various US states (and Fed) - viz "capital gains in oil&gas "if proceeds" used to reinvest in new oil/gas assets .......

    regardless - the company can now live to fight another day ....

    will be interesting to see what the consideration is for the dirt ?
