A USA player just takes over the company for a steal (tax discounted price) as the Australian shareholders believe that the company will have to pay the tax. (look at all the talk of 70 to 90 cent value on HC).
Value of the deal pre-tax is around AUD 1.40 depending on the exchange rate so an offer of AUD 1.20 would be a bargain for a USA company.
