Mars, thanks for contacting Graham on these key details. They address the issues I previously had about his earlier actions and of the most recent CEO. So does Graham and Pollard's letter, which I was able to read before voting.

We (wife and I -- yes, I consulted with her) have voted Graham as proxy and choosing only Pollard and Graham as directors (leaving remuneration open for the proxy to decide).

I was frustrated by the board's opaque justification for their unusual recommendation to vote against Graham and Pollard. This lack of transparency contrasts with the clearer and more pointed arguments provided by Graham and Pollard in their letter. Even if both parties presented equally cogent arguments, Graham and Pollard would have a baseline advantage due to their past performance and (secondarily) skin in the game. I value having independent board members, but those independents need to be much more deeply aligned with shareholders and with personal knowledge of the industry.
