I don't think I mentioned anywhere in my post that there was only one person/shareholder involved or that they are in colusion. If such a group of people wanted to vote a certain way they would.
So
Are you seriously suggesting that all shareholders who vote no to all of Empire's resolutions except resolution 5 are contravening sec 671B?
