• Enters into definitive agreement with Austral Gold
• Says Austral Gold Ltd agreed to acquire all common shares of Argentex in

  exchange for ordinary shares of Austral Gold

• Says Argentex will become a wholly-owned subsidiary of Austral Gold
• Austral Gold offer has an implied valuation of about $c0.085 for each

  Argentex share

• All of the directors and officers of Argentex, other than Wayne hubert, will

  resign

• Upon completion of deal, co intends to de-list from the tsx-v
