Seek justification elsewhere.
And to reiterate...I consider that management should have known what was required, before jumping into this...it is poor form....If you see mistakes/errors at this level as acceptable performance by this "top notch" management team...I pity us all moving forward.
They probably also realized they might lose control of the company given the amount of shares they'd have had to issue.
