Mate, I'm far from an HR guru, but in terms of analysing deals, I look at mc - not shares - who's on the register and milestones for the vendors.
I think the proforma mc is quite undemanding and Gooroo seems to have some credability, vis-a-vis the Microsoft partnership and senior mgmt. I think the vendor consideration is generous and I think Milestone 1 could have been more challenging but it still implies a share price 40% above last traded (007). Milestone 2 is much more challenging and would see all holders enjoying further capital gains.
As a sidenote, I also see some parallels to PML in the sense of the software providing intelligent, scenario decision making features, based on algorithms and not human emotion. I don't know the HR industry nearly well enough to say if that makes Gooroo a unique offering but it is interesting.
