Hmm, I have been in enough entities where you don't need shareholder approval for strategic capital raisings - i.e. allocating some shares to your new strategic investor is what I am referring to here.

It is why I don't think a CR for retailers is likely because it might require approval depending on whether the CR and loyalty options are tied together - shareholders will have a field day in venting their disgust at management (and a lot will rightly bale out too).
