If it was really low risk then you would see $10's of millions bid at 95.01 or so. ATM only a few small players have overbid.
They may hold off on the dividend as unless there is a high rate of acceptances and it doesn't cost them too much to convert. Alternatively conditions may change and the turnaround may be delayed. I am not a holder of ELDPA. I wouldn't buy myself at this level, perhaps a bit lower when the offer expires.
