Elpha - don't agree with your conclusion.
The 7 June announcement was only about completion of due diligence. It also indicated that the companies had agreed to vary certain items in the HOA. there was NO finalization of the transaction. That requires a formal Sale and Purchase Agreement - to be completed by 30 June - as per the following:
"The parties have agreed to vary certain terms of the Heads of Agreement as previously announced and the amended key terms on which the Transaction will now proceed are defined under the Transaction Overview below. The parties will proceed to negotiate a formal Sale and Purchase Agreement ("SPA") on the basis of the agreed amended terms".
Completion of Sale and Purchase Agreements requires TH.
