SG wants Tullow to take over all of HDR's prospective acreage.
SG really likes the Tullow board and management.
SG believes that the TLW management and board like HDR's prospects and potential far more than Simon and the new stooge HDR board.
That's why they're buying.
So ... to keep the dream alive, SG voted YES.

Hold on, maybe you all should vote NO ... then if it's a narrow yes vote, SG will pick up a better ratio than 40/60.
