    Hi Everyone,
    Had a quick look at the AGM notice last night and noticed a few points that when back I will put out for comment. I thought one I should table quickly in case I am right in my interpretation is the

    RESOLUTION 4 - ISSUE OF SHORTFALL OPTIONS.

    It states in part:

    "the Options will be issued to loyal shareholders of the Company, all of which are professional and sophisticated investors, to reward their ongoing support. None of these subscribers will be related parties of the Company;"

    Now you may feel your a professional and a sophisticated sort of character and person, and so you fit that as an investor, but ASIC has a specific test of that as a legal entity if the words "professional and sophisticated" if they were used with intent in that sentence.

    I have been involved in numerous Convertible Notes with startups over the years, TV2U being one of them. The brokers and your accountants will normally have you fill in a binding document which outlines your assets and background which would qualify you to take on an investment risk as a class of person recognised as a sophisticated and professional investor capable of making such an informed investment decision.

    IMO this would be the context with which the shortfall options will be placed in this particular case. This may by its nature exclude numerous retail and day traders who comment here alot of HC TV2U forums.
    I raise it for awareness and debate as last time it was issued to all shareholders on a 1 option for 4 shares basis as the only test of eligibility beyond owning shares by a certain date.

    This allocation will reward the larger holders and any institutional investors and probably anyone still in escrow who invested early under vehicles like Convertible Notes. I put it out there for comment as I already detect alot of enthusiasm by forum posters on getting more oppies, and would prefer we all had clarity and a valid expectation walking into the AGM as to what our vote on that resolution means.

    I will check again tomorrow night what feedback and comments arise here. I am happy to be wrong but I think I may be right.
