A lot of mom and pop shares are in nominee accounts .
If such mom and pop beneficial owners do not force the legal owners (the nominees) to vote this down , then presumably all MacQ need to do is persuade the perhaps 5 main nominees to vote for it .
The nominees would normally follow the recommendation of the board of the target .
Still find the idea of banks being able to (unfairly) compete with main street companies in real industries unbelievable . I'm sure there used to be laws which prevented this . Maybe they were just conventions .
