Disagree completely that share-holders will 'jump at' 3 cents. But just double that to 6 cents (which will still be very cheap for Suda IF BP sees real potential here) and then such a take-over offer will stand a much better chance. At triple that (9 cents and still very cheap for a BP) a take-over most likely will be successful. Time will tell.
Obviously, BP has thus far not concluded that Suda is a 'must have' for them. But this may change, hopefully?
All the aforementioned JIMHO, of course.
