I sincerely doubt MT K will even get to the 10% level so no stock holder approval will ever be needed. They are a hedge fund not a Lynas investor. They will exercise the 3.8 options and sell immediately then 0.05. And sell them. Then the convertible bounds in several blocks. Most sales will be prearranged with large investors before they Buy. There is no option for Lynas to buy back bounds after stock goes over 0.10. To buy back the bounds Lynas will have to pay 0.10 plus the current Delta between 0.10 and the stock price and this only if Mt K agrees or after September of 2020.
