the ''less than 20% scenario is a ''time is of the essence" scenario.
if you read the agreement you will note that it implies that if the amount of shares to be issued creates a +20% potential then the amount of shares to be issued to consort will be effected in steps (withheld until)
this is to allow the ozzy excange/commission paperwk/red tape to move thru the fast track process (a matter of days) compared to the +20% scenario full audit and intention to take over book learnin' option ,which takes months.
Takin' months would jepardise the whole deal.
The possability /risk of consort declaring a takeover bid is highly improbable and virtually impossible (read the agreement) ,but needs to be discussed when doing your own research dilligence and hypotheticals.
therefore the capping has been way overdone in the name of finnies insatiable greed for fear plays
For example under the agreement,
if peter had got his way and the capping could have been controlled more by the co rather than robin'robin and his merry band of ''green tights''......................and the sp had been allowed to run to 10c.................then the issue of shares to concort would have been done in 3 tranches with perfectly staged time steps (time steps are dancin' leo's speciality.
The main problem with a'' too high'' pre aim sp is the updraft dynamic dilution for all's benefit re;aim.
eg; with an assumed massive over subsciption for the aim ipo,we has suggested that a 3c (pre consolidation) may = 30c (aim listing 10 bag)..........where-as , a 5c sp pre aim may =25c (aim listing 5 bag), and a 7c pre may = 21c (yes sir yes sir 3 bags full) ...10 =20 etc
all nice hypotheticals but the 3c updraft puts more tilt in your kilt
