    Yes I have been told by a lawyer in the past that it doesnt matter what you call a document, the actual substance of the document defines what it is.

    In the MOU ANN however they make no mention of it involving any payment

    " The MOU is non-binding & does not contain definitive terms, and as such, is incomplete in the absence of a definitive agreement. "
