I think your point 4 is really crucial here.
I have had dealings with De luca before and he is entirely unsuited to the CEO role in a microcap fintech stock.
he is a big bank person.
The speed at which he was appointed and the fact that Egon Zender did not even complete their assignment before he was hired is extremely worrying. He has been hand picked as a yes man for Camm.
If the board spill does not go ahead then you will have a Chairman and a CEO who are two peas in a pod. Old school, big bank jonny's with no fintech experience nor any microcap experience.
