IMHO, I believe they have a very weak case.
If there was to be a contract, KDR would have received the cash and shares (the consideration).
Now, if MZN did nothing in those 9 months (of course, we don't know all the facts).
But if true, they would be barred from trying to enforce that contract now, under the Doctrine of Laches.
The fact is KDR has spent a lot of money and time proving up the resources since.
Whilst MZN have slept on their supposed "rights". And it had failed to assert those supposed "rights" in a timely manner.
Nine months would be considered too long.
I am sure KDR lawyers would be making this legal argument.
