Re. obstacle 1, what would the 'public policy' argument(s) be against the formation of a (presumably) legitimate bidding vehicle?
The lending group members appear to be sophisticated investors so I think it's unlikely any would simply warehouse their interests for another's benefit. The first obstacle is preserving that 96% so getting everyone on board for the ride. They can't dispose of their shares for 3 years so they're effectively along for that ride anyway, which is why I think any argument from ASIC would be difficult to prove.
