they have a duty to disclose any outstanding things that may lead to a claim ONLY at inception/renewal/variation - the whole point of D&O is to protect directors/companies against claims arising from the directors screwing up, not disclosing stuff, misstatements etc. Unless they can prove fraud, the insurers are on the hook.
