In ASX release titled: "Havilah Secures $2M Placement to Fund Copper Growth Strategy" they specifically refer to a "Subscription Agreement" and a "Funding Agreement". They're clearly two separate agreements. (Although, of course, negotiated at the same time & probably one wouldn't of happened without the other)
They also then tell us (page 3): "The Company has agreed to make a payment of $1,600,000 to the Investor in consideration of the Investor’s entry in the Funding Agreement"
I bolded the word consideration.
The devil is in the detail here & why the ASX headline is technically correct, but when you drill down, seems like a desperate deal done in haste to secure short-term funding.
