Ann: Anthony Rivas appointed Managing Director, page-18

Sorry if I'm being dense here, but if Rivas was CEO, what difference does it make if he is appointed managing director (does it give him a seat on the board)?

Also given the AGM tomorrow, does anyone have a sense of whether there is precedent for shareholders to reject a board recommendation (arguably most people will not fill in their proxy forms so by default the board get to direct their votes.....Lev would have to talk to a lot of institutions to get them to align to him which to me seems a huge uphill battle)
