disclosure does matter

Have been in and out of this one and currently out. Have been reading the posts and see a fair bit of angst from shareholders about the proposed transaction and the related parties ( directors) getting shares and options at a v low price.

What about the questions, why are the 2 directors keen to put in $500,000 each? and what do they know that the shareholders don't?
It comes down to disclosures and corporate governance.
If there is nothing that is not known by the market, then a rights issue to every shareholder on equal terms would be fair.
If you are serious about blocking a vote then surely you would seek to have excluded from voting those persons and entities which are associated with those whom would gain a financial advantage from the transaction.
