Ms Thomas is an INDEPENDENT NED. That means she does not and will not hold any shares in LPD.
Talbot is GXY's man on the board. He may not take up any shares due to his placement. He is there for GXY and not to line his own pocket. As well as his fees, he will be rewarded via GXY looking after GXY's interests. I very much doubt that either will have shares at the end of their tenure.
