The constitution of MVH also states that at each AGM one third of directors must resign.
In their case that is one director. They cant have an AGM with NO directors up for re-election. That just breaks the rules.
The Chairman should have resigned and made himself available for election. That would have satisfied both conditions.
Where is the new Company Secretary on this?
