Management exercising options is a vote of confidence and yes, capital is secured. Management will not want a potential overhang of shares from an underwriter, thus an announcement on distribution, licensing etc may be pending. If such an announcement had a positive share price impact, the underwriters could find themselves with fewer shares, hence less overhang.
