Well you can't stop people lobbing a bid, I just can't get my head around them recommending it.

When I throw into the mix the fact that TP will get around $1.7M for his options which he may not have (he may have and more, who knows) and I expect (without proof) that he's going to get a well paying job at OZL on top of it ( they are still going to build those mines and need those contacts...) and that many people would consider this offer way under valued, then there is at the very least a prima facie case for suspecting a conflict of interest.
