The high grade should get it over the line. Sempra is a major shareholder and will probably help out as they did with TZN @ Angas. Sp weakness is probably due to current market sentiment and 20 million May 08 options which are in the money.
IMO @ current price PDZ is an outstanding medium to long term hold.
