The only thing we dont know about those shares is how many were sold and then bought again- just traded to inflate the price. Why do I say that? No disclosure of becoming a major shareholder so nobody new has accumulated above the 5% threshold. Or something else which I cant explain.

On directors resigning- they are sitting on options, some up to $8M that will mature if the deal goes through. A nice little bonus!
