The ASX is not responsible for checking out the authenticity of every deal a public company enters into. That's what the ASIC does. The ASIC will investigate any complaint that is made regarding misleading information, scams etc. Directors are now personally liable for breaches of trust, insider trading etc.
My interpretation of the voluntary suspension is centred around whether the reason for the voluntary suspension is worthy of a TH. ie: Is the "material transaction" price sensitive enough to allow the suspension. The other side of that is that if the ASX deem it not worthy then MGC have effectively achieved what they wanted anyway...Hmmm
