Directors can obtain liability insurance which covers legal costs in the event of alleged wrongdoing. Now if it was intentional, of course you wouldn't be covered, but typically these things go to settlement without wrong doing being accepted and the cash flows.
It's negligence and incompetence it insures against most of all.
