The indemnification was, and has never been, for a potential negative arbitration outcome. COP believe they have complied with the JOA, so to have an indemnification would actually mean they are not entirely convinced they have....and WPL say the right of PE does not exist if you buy a company so they would not require one, which means COP would not offer one.....unless they were insane of course, it was for disposition liabilities and according to the WPL cheer squad disposition [ the transaction ] has happened. Please again, where is your proof that WPL are no longer indemnified by COP.
You forgot the IMO in your post.
and clearly have not fully read COPS,imdemnity section,and sales disposition section in 2017 COP sec filling.
If you actually think that WPL would actually agree to a Deal without imdemnification from COP from Litigation by Far,then you truly are nieve.
The imdemnification was included in the first place,for this very reason.
It may not be needed,but is there.
