In reading that page and esp points h, i, j and k, it would appear that there are multiple reasons to break the deal, either by a) OXR directors changing their minds with a t/o bid lobbed in from someone else (item h) b) ZFX if a takeover of OXR gains 50% of OXR shares, (item i) (unlikely to happen - too short a time frame) c) ZFX if a takeover of OXR is proposed that ignores ZFX (item j)
What is the difference between a "Mutually Exclusive Competing Proposal" and a "Competing Proposal" (items j and k)? When I read it in context, I cannot seem to find a difference.
