If they had taken the majority of lets say 70% in equity or a FIXED number of shares agreed at the date of original contract sure. But 3mill DOLLARS in shares at a price not yet known means more for them of DEG and indirectly its other assets as the DEG SP falls.
The vendor may have been great at selling the sizzle.
