The clawback option is bitter/sweet. But I’m afraid most people are only looking on the bright side of this deal. Firstly, the way I understand the clawback is that when the time comes to execute the clawback option, Pensador will be revaluated by an independent party and suppose Pensador is valued that USD$2billion. What price do we expect CVI’s sp to be when its time to clawback? $1 or $2 ??? Can the sp even get there? At $1 we need to issue Pensador 2 billion CVI shares if we were to clawback 100% of Pensador, bringing CVI register to around 2.5 billion shares.

Another point is that, won’t it be in Pensador’s owners to somehow keep CVI’s sp as low as possible, so that instead of having to issue 2 billion shares, CVI needs to issue many multiples of that figure, thereby increasing their own % holding in CVI ultimately.

Somehow, I can’t see a win-win situation arising for Pensador’s owners and CVI’s retail investors. And more likely than not I think it will be at our expense.

Interested to see what other views others hold. T4p has posted his idea for cvi’s sp which I remember to be $20? LOL
