Yep, it's better to jump on a train moving forward than to stand in front of a train going 100mph and praying that it will magically stop and turn around.
Also, in terms of a T/O, I don't think it's on the radar yet. A T/O offer would need to be at a 20-50% premium. Market cap is currently $550m. A T/O at the moment would value the company at between $660m (20%) and $825m (50%). Assuming GXY has A$300m in the bank after it pays tax on SDV, would an acquirer be able to offload GXY's assets for between $360m and $525m? I honestly doubt it. I think a T/O is more realistic at closer to $1.
