You are naively incorrect with your assumption on two points, PE operates to allow the existing Joint Ventureor to purchase the assets on the same terms as a valid offer. So if the valid offer is for the shares in a company how can it be on the same terms without being provided with the company information. Secondly if a company was being offered for sale, normal business principles applies so that the purchaser can do due diligence on the company.
