Laughing at anyone suggesting another offer would be too hard to get the board, legal team and shareholders to accept.
Doesn’t matter how scary the current terms of reference for the scheme are. The scaremongering all falls down with the words “superior offer”
I’m not a lawyer but I imagine something like this would get it over the line (DYOR IMHO etc)...

But what you really have to ask is what would the legal team/board do if an offer was conditional, but likely to result in a superior offer....
