More shares on issue. He did not participate in the raising subsequently his as everyone else's holding was diluted in proportion by the number of new shares issued.
The surprising thing is that he wasn't aware of it until now, that either shows you his investment to him is insignificant or given that he is previous management he is just sloppy.... given the current SP you choose which ?
