Paul Adams, director of SPX, was engaged as a technical advisor to DJC for the purpose of DJC's engagement with VMC to look into the PW tenements. SPX is alleged to have been the beneficiary of the breach of the fiduciary duties owed to VMC by Adams / Bosio / DJC and hence under the laws of equity can be declared to be holding the PW asset on constructive trust for VMC.
