the last line of your contract you posted says a lock will put on the shares until the loan is repaid. So if you don’t repay you don’t get the shares and as the CFO said which you seem intent on ignoring is there is no obligation to pay the loan unless he wants to sell the shares. The way you represent it if Ac left the company he would have to repay all that money even if the shares are worth less the CFO used that and other scenarios to show there was no obligation to repay the lone other than if you want to sell the shares seems you are the one back tracking on what you said.
