Take That you mention that the shares are maybe meant to be in a trust, if this is the case and old mate is selling them, he just might have to buy the share back. If this is the case, he / she might struggle if EGM succesful? just my thoughts, and if they do need to buy back, apart from No 1 share holder not sure who is going to flick it to them around these levels.
