As corporate governance documents tend to be cookie cutter, the only standard clauses that I can think of which would preclude him would be an Inside Information clause, as well as certain clauses that can stipulate a Chairman must seek board approval to buy or sell shares. If it was the former then Cunningham would also be precluded (unless they keep him locked in a cupboard) and I would assume no problems getting approval in the case of the latter.
