I think RIO want it to go through. That's why they bought 15% of KAH too.
I think a company where one shareholder holds 39% is not to RIO's liking. I think RIO prefers a merged entity in which they can accumulate ownership more easily and become the majority holder is to their liking.
I guess we'll find out soon enough.
