Even at the first glance I don’t think many would want to be left as a minority holder of SPX- which remains listed but under control of a parent entity. The dead zone between 50.1% & 90% isn’t a good place to be left in. Also my reading is that between 50.1% & 80% take up provides no tax rollover relief to those who accept the offer.
