The way the Corporation Law is written is a little too flack and vague. Perhaps all done intentionally too. And the way ASIC is handling it, is below the levels which a shareholders is expecting it to act and take action.
The point is that if they (ASIC) can't recover their costs of prosecution, chances are that they are not interested and that is why many small companies and their Boards seems to get away with it times and times again all at the expense of the Mums and Dads investors.
