Wouldn't a court look at the actions of Carlyle leading up to PNC's termination of SIA as clear indication Carlyle had no intention of proceeding with SIA. It looks like pNC terminating is to allow them to discuss funding or acquisition with other parties required for survival. I think Carlyle were trying to prevent this.
