    In fact it assists with a hostile takeover. NCZ could lock up a deal with OCP for a portion or all of their share. If only a portion is agreed upon, then OCP could get a better price for the remainder, if the first attempted takeover offer isn't accepted by the board. Anyway, the same would be for any hostile takeover, you try to lock up a sizeable stake off market before you commence with full launch. Pretty standard....
