Although on the face of it the SPARCS rejig looks OK, it probably still has to be passed by 75% of SPARCS holders to kick in.
Again I think it's probably a good offer & maybe BBI is really a different animal than BNB, and is treating its' noteholders with a bit of respect.
The 20 cent minimum is, "A convert SPARCS to BBI anytime at 20 cents", so it's in effect a maximum.
Clear as mud, I know.
